Welcome to TM Academy, a division of Kooka Ventures Ltd. We are delighted to have you as part of our learning community. TM Academy provides high-quality math instruction and enrichment courses for junior-high and high-school students at this stage, designed to strengthen conceptual understanding and academic confidence.
Please read these Terms of Use carefully, as they govern enrollment, participation, and communication related to all TM Academy courses and sessions. By enrolling in or attending a TM Academy program, you (“Student,” “Parent/Guardian,” or “you”) agree to these Terms.
These Terms of Use (or “Terms of Service”) constitute a legal agreement between you (the “Customer,” “you,” or “your”) and Kooka Ventures Ltd., a corporation incorporated under the laws of Canada (“Kooka Ventures,” “we,” “us,” or “our”), which operates TM Academy as its educational division.
By using or enrolling in TM Academy’s educational programs or related services (collectively, the “Service”), you agree to be bound by the following terms and conditions, together with any documents and/or additional terms they expressly incorporate by reference (collectively, these “Terms”).
BY ACCESSING OR USING THE SERVICE , YOU:
(A) acknowledge that you have read and understand these Terms;
(B) represent and warrant that you have the right, power, and authority to enter into these Terms and, if entering into these Terms on behalf of a minor Student, that you are the Student’s Parent or legal guardian; and
(C) accept these Terms and agree that you are legally bound by them.
1.1 “Academy” means TM Academy, operated by Kooka Ventures Ltd.
1.2 “Course” means any math program, workshop, or class offered by the Academy.
1.3 “Student” means any individual enrolled in a Course. A Student’s age shall not exceed 18 years at the time of enrollment.
1.5 “Session” means a scheduled instructional meeting, in-person or virtual.
1.6 “Fee” refers to the payment made for enrollment in a Course.
1.7 “Diagnostic Test” means the online placement assessment conducted by the Academy to determine the appropriate learning level for a Student.
2.1 Enrollment is completed online by submitting the official registration form, making full payment of the Course Fee, and completing the Diagnostic Test within two (2) days of enrollment.
2.2 Students who think diagnostic test result did not reflect their true ability in first attempt may retake the Diagnostic Test once more within that period; the second attempt’s results will be final for determining the assigned course level.
2.3 Upon request by the Academy’s administration, the Student or Parent must provide proof of date of birth during or before the first session. If such proof is not provided, the enrollment will be cancelled with a full refund.
2.4 Students must not attend a session while suffering from any contagious or communicable medical condition that could pose a risk to others. If such a condition arises during the Course, the Student shall not attend in-person sessions until medically cleared. In such cases, remote or alternate guidance may be offered only to the extent reasonably possible for the Academy.
2.5 A Student may withdraw after attending the first two sessions and receive a full refund, provided that (a) written notice of withdrawal is sent by email within two (2) calendar days of the second session, and (b) all course materials received are returned in their original condition at the next scheduled session.
2.6 Refunds will be issued within one (1) week after materials are returned, using the same payment method through which the original payment was made.
2.7 No refund will be issued for withdrawal requests received after the specified deadline above. If a Parent or Student’s behavioral conduct leads to discontinuation by the Academy (see Sections 3 and 4), no refund shall be provided.
2.8 If a Course is canceled by the Academy due to insufficient enrollment, scheduling, or unforeseen circumstances, a pro-rated refund will be issued automatically based on the number of executed sessions and any fixed costs such as course materials.
2.9 The exceptions to age limit may be made on request after student interview; inquiries should be made prior to enrollment.
3.1 Students and parents must follow all entry, attendance, and exit procedures established by the Academy.
3.2 Students are expected to arrive on time, respect instructors and peers, and maintain a positive learning environment.
3.3 The standards of student behavior shall align with those prescribed by the Edmonton Public Schools Board (EPSB), including respect for diversity, courtesy, and safety of all participants. It is the responsibility of the Parent to be aware of those standards and to educate and counsel Students accordingly
3.4 The Academy may change the venue of classes if holding them at the Terwillegar Recreation Centre becomes administratively difficult or impractical for any reason. Participants will be notified in advance, and all reasonable efforts will be made to select a comparable and convenient alternate venue. If advance notification is not possible, such change shall be accepted by the Parent and Student along with any necessary rescheduling. Similarly, minor departures from the original class schedule for administrative or logistical reasons shall be accepted without claim or objection.
3.5 Disruptive, disrespectful, or unsafe behavior may result in suspension or permanent removal from the Course without refund.
4.1 Parents/Guardians are responsible for ensuring that Students are picked up promptly after class and supervised before and after each session.
4.2 The Academy is not responsible for any injury, loss, or incident occurring outside the classroom or beyond official class time.
4.3 The Academy does not assume guardianship responsibilities for Students beyond the designated instructional period.
4.4 Parents are financially responsible for the Students and for ensuring the Student’s compliance with these Terms.
4.5 Students and Parents must comply with all health and safety instructions issued by the Academy at any time during the Course.
5.1 All instructional materials, lesson content, and course designs are the exclusive property of TM Academy and Kooka Ventures Ltd.
5.2 Students and Parents agree not to copy, record, reproduce, or distribute any Academy materials or sessions without prior written consent.
6.1 TM Academy strives to deliver a high standard of instruction but does not guarantee any specific academic result or outcome.
6.2 The Academy, its instructors, and staff shall not be held liable for any direct or indirect damages, including injury, loss of property, or academic dissatisfaction, arising from participation in a Course.
6.3 The total liability of the Academy shall not exceed the total Fee paid for the Course.
7.1 TM Academy may collect contact and student information for enrollment, scheduling, and educational purposes in accordance with the Personal Information Protection Act (Alberta) (PIPA).
7.2 Collected information will be used solely for academic and administrative purposes and not shared with third parties except as required by law.
7.3 The Academy may communicate with Parents via email or text regarding scheduling, progress updates, and administrative notices.
8.1 Any dispute or claim arising from these Terms shall be resolved through binding arbitration under the Arbitration Act (Alberta).
8.2 The seat of arbitration shall be Edmonton, Alberta, and the language of proceedings shall be English.
8.3 Each party shall bear its own costs unless otherwise awarded by the arbitrator.
9.1 The Academy reserves the right to modify these Terms at any time.
9.2 Updates will be communicated through email or posted on the official TM Academy website.
9.3 Continued enrollment after such notice constitutes acceptance of the revised Terms.
10.1 These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.
11.1 All official communications, including refund or withdrawal requests, should be sent by email to tmacademy50@gmail.com (or the email indicated in the class at any time).
12.1 You agree to indemnify, defend, and hold harmless TM Academy, Kooka Ventures Ltd., and their respective officers, directors, employees, instructors, contractors, and agents from and against any and all claims, liabilities, damages, losses, and reasonable expenses (including legal fees) arising out of or related to:
(a) your or the Student’s breach of these Terms;
(b) your or the Student’s conduct in connection with the Courses, facilities, or materials;
(c) any violation of law or third-party rights by you or the Student; or
(d) any claim resulting from the Academy’s acts, omissions, or decisions made in good faith and without gross negligence or willful misconduct while delivering, modifying, or managing its programs.
12.2 The Academy will promptly notify you of any indemnifiable claim and may, at its discretion, assume the exclusive defense and control of any matter subject to indemnification; in such case, you agree to cooperate fully with the Academy’s defense. This indemnification shall operate subject to the liability limitations set out in Section 6.
13.1 The Academy shall not be liable for any failure or delay in performance under these Terms arising from events beyond its reasonable control, including but not limited to acts of God, weather conditions, pandemics, labour disputes, government actions, or facility closures, etc.
13.2 In such cases, sessions may be rescheduled, converted to remote instruction, or adjusted as reasonably necessary, without constituting a breach of these Terms.
